Legally Binding Agreement: Use of the image(s) accompanying this communication (individually and collectively, the “Imagery”) is subject to the following legally binding terms and conditions. Santa Monica Travel & Tourism (“SMTT”) grants the entity that controls the e-mail address to which this communication is addressed (the “Business”) a limited, non-exclusive, non-transferable, non-sublicensable license to reproduce and display the Imagery solely as part of the marketing and promotional materials of the Business, provided that: (i) the Imagery is not altered or modified in any way, or used to create any derivative works; (ii) the Business ensures all such marketing and promotional materials are in compliance with all applicable laws; (iii) all such marketing and promotional materials are distributed and/or offered at no charge; (iv) in all such marketing and promotional materials that are distributed and/or offered to members of the public, the Business must include a credit for the Imagery that identifies SMTT as the source and copyright owner; and (v) the individual receiving this communication is legally authorized to bind the Business to these terms and conditions. The foregoing license: (i) does not convey any right, title, or interest, including without limitation any copyright interest, in the Imagery, all of which are expressly reserved to SMTT; (ii) can be revoked by SMTT at any time; and (iii) is offered without any representations or warranties of any kind, whether express or implied, with respect to the Imagery. If the Business does not agree with all of the foregoing terms and conditions, the Business should not use, and is not permitted to use, the Imagery.
